Terms of service
1. Definitions:
AGREEMENT – is a contract, that outlines the terms, conditions, and responsibilities for the use of logistics services provided by Pickrans International OÜ
Client - refers to the individual, company, or organization that contracts a PickTrans International to manage and deliver goods or services.
Carrier - refers to a company or individual responsible for the physical transportation of goods from one location to another arranged by PickTrans International OÜ
Commodity - refers to the type of goods or products that are being transported, managed, or stored through the PickTrans International OÜ platform's services.
Shipper" refers to the individual or entity that is responsible for releasing goods to the carrier at the collection point.
Consignee - refers to the person or entity who is the recipient of goods being shipped or transported by PickTrans International OÜ. The consignee is the party designated to receive the delivery at the destination specified in the shipping agreement.
Consignment - refers to a shipment or batch of goods that are being transported, stored, or delivered from one party (often the shipper or seller) to another (typically the consignee or buyer). It represents the goods that are entrusted to PickTrans International for transport from one location to another.
Dangerous goods - refer to materials or substances that pose a risk to health, safety, property, or the environment during transportation, handling, or storage. These goods are subject to strict regulations and require special handling, packaging, labeling, and documentation to ensure safe transport and compliance with international safety standards.
Drop-off point refers to a designated location stated in the order, where goods, packages, or shipments are delivered or dropped off for further transportation, storage, or delivery to the final recipient (consignee).

Offer refers to a proposal or set of services provided by the PickTrans International to a client, based on client search details.
Order refers to a formal request or instruction initiated by a client at PickTrans International platfrom for a logistics service, such as the shipment of goods, booking of transportation, or any other logistics-related task.
Order Confirmation refers to the acknowledgment or official receipt issued by the PickTrans International after a customer places an order for logistics services (such as shipment, freight, or warehousing).
Collect point – refers to the location specified in the Order, where the Shipper will release the Consignment to the Carrier arranged by PickTrans International.
Platform - The computer system designated for the Client to place Orders for the provision of Services by PickTrans International
SDR refer to an international reserve asset created by the International Monetary Fund (IMF), which is used in the global financial system.
Service fee - refers to a charge imposed by the platform for the use of its services.
Services - refer to the range of logistics-related activities and solutions that the platform offers to its users.
Terms and Conditions – refers to the rules, responsibilities, and agreements between the platform PickTrans International (service provider) and the users.
2. Services Provided
2.1 PickTrans International online logistic platform allows the Client to request Services from the platform to forward a Consignment from the Collect Point to the Drop off Point. When the Services are provided, PickTrans International functions as the freight forwarding agent for the Client. In this role, PickTrans international is responsible for coordinating the transportation of the Consignment from Collect Point to the Drop off Point. PickTrans International is not a Carrier and does not include transportation services within its scope of Services.
2.2 The Agreement for the provision of Services is formed in accordance with Section 3.7, between the Client, acting as the consignor, and PickTrans International, acting as the forwarding agent. Under this Agreement, PickTrans International agrees to arrange the transportation of the Consignment on behalf of the Client, according to the Offer chosen by the Client, from the Shipper to the Consignee. The Client agrees to pay the Service Fee for the Services. The Client may be either the Shipper, the Consignee, or neither, depending on the situation.
2.3 All specific agreements with the Carriers involved in fulfilling each Offer shall be made between PickTrans International and the respective Carrier.
3. Booking and Orders
3.1 When ordering the Services, the Client is required to enter specific details (such as the Collect- Point, Drop off Point, Consignment weight, and Consignment volume) into the Platform and select a suitable Offer from the available options. The Client may also provide the dimensions of the Consignment. In addition, the Client must indicate whether the Consignment contains Dangerous Goods or qualifies as a personal shipment. If the Consignment requires protection from heat, cold, humidity, vibrations, or other factors, the Client is responsible for notifying PickTrans International of these requirements when placing the Order, either through the Platform or via email.
3.2 To select a suitable Offer, the Client is required to sign up or log into their user account on the Platform. The Client must make sure that all information provided during sign-up or login (including contact details) is correct and complete. The Client must keep their account details private and notify the PickTrans International immediately if they become aware of any security breach or unauthorized use of their account.
3.3 The Client can choose an Offer from the options available in the Platform that matches their search details.
3.4 All Offers are valid for a specific period, which is shown on the Offer. If the Client sets a pick-up date that is later than the Offer's validity period, PickTrans International can update the Offer before the pick-up date and ask the Client to confirm the revised Offer.
3.5 After choosing an Offer, the Client needs to provide the contact details for the Shipper and Consignee, describe the contents of the Consignment, and specify the date when the Consignment will be ready for pickup. If no pick-up date is given for the Consignment, it will be assumed that the Consignment is ready for collection right away.
3.6 After entering the information requested in Section 3.5, the Client can place the Order by clicking the appropriate button in the Platform.
3.7 Based on the information provided by the Client in the Order, PickTrans International will send a confirmation to the Client with the details of the Order. The Agreement for the provision of Services is considered concluded between the Client and PickTrans International when the Order Confirmation is sent to the Client, based on the terms in the Order Confirmation and these Terms and Conditions, unless stated otherwise in Sections 3.8 and 3.9.
3.8 If there is an error in the Platform and the transport solution, price, or any other details are incorrect according to PickTrans International reasonable judgment, PickTrans International has the right to correct the mistake and send the Client an updated Offer. In this case, the Agreement between the Client and PickTrans International is considered concluded once the Client clearly accepts the updated Offer within the time frame shown in the Platform.
3.9 If the Consignment contains Dangerous Goods, bulk goods, or is a personal effects shipment, or exceeds certain weight, volume, or other limits specified in the Platform for particular transportation methods, the Platform will provide a custom Offer to the Client. In this case, the Agreement for the provision of Services is considered concluded between the Client and PickTrans International when the Client clearly accepts the Offer within the time frame shown in the Platfrom, based on the terms in the Offer and these Terms and Conditions.
3.10 The Platform can be used, and Orders can be submitted in English or any other languages available on the Platform.
4. Shipment processing
4.1 The transportation of the consignment is carried out by independent carriers chosen by PickTrans International based on the client's instructions. Although PickTrans International carefully selects the carriers, it is not responsible for their actions or mistakes, unless the law says otherwise. PickTrans International will be responsible for any loss or damage to the consignment as outlined in Section 6.1 below
4.2 The client must ensure that the consignment is prepared and ready to be handed over by the shipper to the carrier arranged by PickTrans International at the collect point location and time specified in the order confirmation, offer, or during the service process.
4.3 The client agrees to ensure that when the shipper gives the consignment to the carrier, it is packed securely and properly, following any rules for the collection point and drop off locations, or as required by the carrier, to protect the goods from damage during transportation. The client agrees to make sure the consignment is properly and clearly labelled. PickTrans International is not responsible for checking or confirming if the packaging of the consignment is suitable or sufficient. Picktrans International is not responsible for any damage to the goods or consignment caused by inadequate or incorrect packaging or labeling. If Picktrans International or the carrier incur extra costs because the client doesn't follow the above rule, the client will be held responsible to cover those costs.
4.4 The client guarantees that all information about the goods and consignment provided in the platform is correct. However, Picktrans International has the right to inspect the consignment and verify its weight or size. If the inspection shows that the information is incorrect, the client may be charged for any extra costs, as mentioned in Section 10.
4.5 If the client doesn't inform Picktrans International that the consignment contains dangerous goods, and Picktrans International is unaware of this and the necessary safety measures, and if the consignment is later found to be a danger to people or property, it may be unloaded, destroyed, or made safe without any compensation. The client will be responsible for covering any loss, damage, costs, or liabilities related to handling these dangerous goods. The client must prove that Picktrans International knew exactly what the dangerous goods were.
4.6 If the goods become dangerous during the service, the consignment may be unloaded, destroyed, or made safe, as explained in Section 4.5. If the danger wasn't caused by Picktrans International fault or neglect, Picktrans International won't be responsible, and the client is responsible to cover any loss, damage, or costs related to it.
4.7 The platfrom shows an estimated delivery time for the consignment. Picktrans International will make reasonable efforts to deliver it on time, but do not guarantee the exact delivery time and is not responsible if the consignment is not delivered by the estimated time.
4.8 The client must make sure that the consignment is received at the drop off point by the consignee or authorized person, at the time Picktrans International has communicated. Picktrans International and the carrier are not responsible for checking if the person receiving the consignment is properly authorized. If the consignee is not available or refuses to accept the consignment within 3 days, Picktrans International can arrange to return the consignment to the shipper at the collection point, and the client is responsible to cover all related costs.
5. INSURANCE
5.1 The Client is responsible for considering the risks of loss, damage, or delayed delivery of the consignment and arranging appropriate insurance, either by themselves or through the consignee, shipper, or another party. For consignments of significant value, PickTrans International recommends that the Client buy extra cargo insurance.
6. Responsibility
6.1 As a forwarding agent, PickTrans International is responsible for arranging the transportation of the consignment as per the Client’s instructions, from the collection point to the drop off point, and is liable for providing the services carefully and correctly. As a forwarding agent, PickTrans International is responsible to the Client and the Consignee for any loss or damage to the consignment as outlined in Sections 6.2-6.6. However, since PickTrans International doesn’t provide transportation itself and uses independent carriers, it’s not directly responsible for the actions or mistakes of those carriers. PickTrans International responsibility for the carriers is limited to what's stated in Sections 6.2-6.6."
6.2 PickTrans International is responsible to the Client and the Consignee for any loss or damage to the consignment, based on the following rules;
6.2.1 PickTrans International will be responsible for any loss or damage to the package from the time it's picked up until it's delivered, following the same rules that apply to the carrier handling the shipment at the time of the loss or damage;
6.2.2 If the package is lost or damaged, PickTrans International will be responsible for the value of the lost or damaged part based on what it was worth when it was supposed to be delivered. The value will be the lower of either:
- 1. The value listed on the invoice, or
- 2. The current market price of the goods, or if there's no market price, the usual value for goods of the same type and quality.
6.2.3 PickTrans International's responsibility for loss or damage will follow the same rules and limits as those that apply to the carrier handling the shipment at the time. These limits depend on the type of transport used and the international laws and agreements that apply, such as:
- 1. Rail transport: International rules for goods carried by rail (CIM and SMGS).
- 2. Road transport: Rules for international road shipments (CMR).
- 3. Sea transport: The Hague-Visby rules for shipping.
- 4. Air transport: The Warsaw and Montreal Conventions for international air cargo.
6.2.4 In the case of multimodal transport, where it's not clear which carrier was responsible for the loss or damage, PickTrans International's liability is limited as follows:
(a) If the transport doesn't involve sea or inland waterway shipping: PickTrans International’s liability is limited to the lower of:
- 8.33 SDR (Special Drawing Rights) per kilogram of the lost or damaged goods, or
- The value of the goods as listed on the commercial invoice, if PickTrans International knew the value before pickup.
- 666.67 SDR per shipment or unit, or 2 SDR per kilogram of the lost or damaged goods, or
- The value of the goods as listed on the commercial invoice, if PickTrans International knew the value before pickup.
6.2.6 PickTrans International's total liability shall not exceed the maximum amount for a total loss of the shipment.
6.3 The client is responsible for any extra costs or damages caused by providing false, incorrect, or incomplete information to PickTrans International when placing the order, including details about the goods being shipped.
6.4 Neither PickTrans International nor the client will be responsible for any loss of income, business, expected savings or profits, or any indirect damages. PickTrans International is also not responsible for losses caused by delivery delays.
6.5 PickTrans International will try its best to avoid issues, but can't guarantee there won't be interruptions, connection problems, or faults with the platform. Additionally, it may add new features or remove existing ones at its discretion.
6.6 The limitations of PickTrans International liability outlined in these Terms and Conditions do not apply if the damage is caused intentionally.
7. Right to Withhold and Security Interest
7.1 PickTrans International can keep the consignments and goods it controls (including
those with any carriers it uses) until the Client pays all fees, expenses, and charges owed
under the Agreement.
7.2 If the consignment is lost or damaged, PickTrans International has the right to keep any
compensation paid by insurance companies, carriers, or others.
7.3 If the Client is more than 14 days late in paying, PickTrans International can use its lien
on the consignment and sell enough of the goods to cover the amount owed, including any
costs. PickTrans International will try to inform the Client beforehand if it plans to do this.
8. Force Majeure Clause
Force Majeure refers to any event or circumstance beyond the reasonable control of the carrier (or service provider), including but not limited to:
- Natural disasters (earthquakes, floods, hurricanes, etc.)
- War, civil unrest, terrorism, riots, or other acts of armed conflict
- Strikes, lockouts, or other labor disputes (whether affecting the company or third parties)
- Government actions, regulations, or restrictions (including embargoes, restrictions on trade, and changes in laws)
- Failures of public utilities, telecommunications, or infrastructure (such as electricity, water, or data systems)
- Epidemics, pandemics, or health emergencies (e.g., COVID-19)
- Airspace, port, or rail terminal closures or disruptions
- Accidents or technical breakdowns beyond reasonable control (e.g., mechanical failure, fuel shortages)
- Navigational or weather-related disturbances (such as typhoons, blizzards, or extreme temperatures)
- Other circumstances or events outside the control of the carrier or freight provider.
9. Compliance with International Trade Regulations and Sanctions
Sanctions Compliance: The customer agrees not to engage in trade that violates sanctions or embargoes imposed by international bodies (e.g., UN, EU, U.S. OFAC) or national governments.
Restricted Goods: The customer is responsible for ensuring that the goods being shipped are not subject to trade restrictions or prohibitions, such as those involving dual-use technology, military goods, or materials that could be used for illegal activities.
10. Invoices and Payments
10.1 The client agrees to pay the service fee to Picktrans International as stated in the order confirmation or offer. The client may also need to cover additional costs if there is incorrect or incomplete information about the consignment, delays due to customs, or other issues. The client is responsible for all taxes, fees, and expenses related to the consignment.
10.2 PickTrans International can change the service fee stated in the order confirmation or offer, and may charge additional fees to the client according to the prices listed in the platform, without updating the agreement, in the following cases:
10.2.1 If the measurements (weight and volume) of the Consignment given by the Client are different from the actual measurements when handed over to the Carrier or during delivery.
10.2.2 If extra fees apply because the Consignment's contents don’t match the details the Client provided in the Order.
10.2.3 If the Consignment needs to be repackaged or relabelled due to the Client's failure to meet the obligations set out in Section 4.3.
10.2.4 If the Consignment is not given to the Carrier at the agreed Collection Point on time.
10.2.5 If the Consignee refuses to or fails to properly receive the Consignment at the Dropp off Point.
10.3 If, after handing over the Consignment to the Carrier, it’s found that the actual weight or volume differs significantly from the details in the Order or exceeds the limits in Section 3.8, the Client will be asked to confirm an updated Offer and adjust the Agreement as outlined in Section 3.8. If the Client does not accept the updated Offer within the time given in the Platform, and no alternative delivery options are agreed upon, PickTrans International can choose how to deliver the Consignment (to the Collection Point, Drop off Point, or another location specified by the Client). The Client shall be responsible for all costs incurred by PickTrans International prior to discovering the incorrect measurements, as well as any costs related to the delivery of the Consignment thereafter.
10.4 The Service Fee and any other charges shall be paid based on an invoice sent to the Client after the Agreement is finalized. VAT will be added to the invoice if required by law.
10.5 If the Service Fee or other charges in the Order Confirmation or Offer are based on costs in a different currency, the final amount may change due to currency conversion when the Consignment is handed over to the Carrier. The currency exchange rates are based on the European Central Bank currency exchange rates.
10.6 The Service Fee is considered paid when it is credited to PickTrans International bank account as shown on the invoice.
10.7 If the Client does not pay the Service Fee by the due date on the invoice, a late fee of 0.03% of the overdue amount will be charged per day.
11. Licensing, Ownership of Intellectual Property, and Data Handling
11.1 When the client registers on the Platform, PickTrans International gives them a license to use it for ordering and paying for services. This license can be canceled and can't be shared, transferred, or passed on to others.
11.2 All the rights to the software, documents, and information used or created by PickTrans International for the services (including the Platform and anything uploaded on it) belong to PickTrans International. The client is not allowed to copy, change, reverse-engineer, or try to access the source code of the Platform or any software PickTrans International uses, nor can they use any data from the Platfrom for commercial purposes or anything other than its intended use.
11.3 The rules for how the client's personal data is handled are explained in the Privacy Policy, which is available on the Platform
12. Termination and Suspension of Access
12.1 The client cannot cancel or change the agreement on their own. If the client is a consumer, they do not have the right to cancel the agreement within 14 days.
12.2 PickTrans International can immediately suspend a client from using the platfrom, refuse to process their orders, or cancel their agreements if the client misuses the platform, is suspected of fraud, or doesn't follow the rules in the agreement or terms and conditions.
13. Concluding Terms
13.1 PickTrans International can change these Terms and Conditions at any time by posting the updated version on the Platform and notifying clients via the email they provided when signing up.
13.2 The use of the Platform, the Agreement, and all related legal matters will be controlled by the laws of Estonia. If the client is a consumer, they are also protected by the laws that would apply even without this term.
